This Integration Consultancy Agreement (“Agreement”) is made between Truly Knowing Malaysia (“Business”), and [Client’s Name] (“Client”). Together, referred to as “the Parties''.

1. Purpose

This Agreement explains the understanding and agreement between both Parties regarding the consultancy.

2. Scope of Consultancy

Details of the consultancy agreed upon by both Parties will be set out in Appendix A (Scope of Consultancy and Timeline).
Any additional work outside the agreed scope will require written approval and may result in additional costs.

3. Pricing & Package

The total consultancy price, together with detailed breakdowns, will be clearly set out in Appendix B (Pricing and Payment Terms) in accordance with the package chosen by the Client.

4. Payment Terms

Details of payment stages and timelines will be explained in Appendix B (Pricing and Payment Terms).
Each stage must be paid in full before the Business proceeds to the next stage.
Payment is to be made within one day after the invoice is issued.
Receipt of payment will be issued within one day after the payment is made.
Late payments may result in the suspension of consultancy until cleared.

5. Specific Mutual Responsibilities

The Business agrees to:

  • Deliver consultancy to the best of its ability.

  • Maintain transparency in the process and pricing.

The Client agrees to:

  • Provide accurate, timely, and complete information required for the consultancy.

  • Make payments on time as agreed in Appendix B.

  • Give the best cooperation needed in completing the consultancy.

6. No Guarantee of Results

While the Business provides consultancy to the best of its ability, outcomes cannot be guaranteed as they depend on external factors beyond the Business’ control.

7. Confidentiality

Both Parties agree to keep consultancy details confidential unless agreed otherwise in writing.

8. Termination

Either Party may terminate this Agreement by providing three working days’ written notice if the other Party fails to fulfill its obligations before the commencement of the next stage.
No refunds shall be issued for work that has already been completed.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Malaysia.

10. Entire Agreement

This Agreement, together with the following documents, forms the full understanding between the Parties:

  • Appendix A – Scope of Consultancy

  • Appendix B – Pricing and Payment Terms

  • Terms and Conditions (as published on the Business' website on the date of signing)

  • Privacy Policy (as published on the Business' website on the date of signing)

  • Frequently Asked Questions (FAQ) (as published on the Business' website on the date of signing)

  • Any additional written agreements signed by both Parties.

11. Communication

Both Parties agree to maintain clear, timely, and respectful communication throughout the consultancy.
Both Parties are not obliged to respond to communication outside of working hours, weekends, or public holidays, unless otherwise agreed.

The primary communication channels will be:

  • Email: [Business' and Client's Email Address]

  • Official messaging platform (if applicable)

  • Scheduled meetings or calls are agreed in advance

12. Professional Conduct and Good Manners

Both Parties agree to conduct themselves with professionalism, courtesy, and respect at all times.
The Business reserves the right to discontinue communication or suspend consultancy if subjected to harassment, abuse, or unprofessional behavior.
Any breakdown in professional conduct may be grounds for termination of the consultancy.

13. Amendments

Any amendments, additions, or changes to this Agreement (including its Appendices) must be made in writing and signed by both Parties.
Verbal agreements or informal communications (e.g., emails or messages) will not override this Agreement unless formally documented and signed.
